Public offer agreement is public, i.e. according to Article 633 of the Civil Code of Ukraine its terms and conditions are the same for all Buyers regardless of their status (individual, legal entity, individual - entrepreneur). Upon full agreement with the terms of this Agreement, the Buyer accepts the terms and procedure for placing the Order, payment for the Goods, delivery of the Goods and is responsible for failure to fulfil the terms of this Agreement.
The Seller offers to enter into this Public Offer Agreement for the purchase and sale of Goods and provision of services through the Seller's Website to any person who accepts this offer (hereinafter referred to as the Buyer), on the other hand, hereinafter collectively referred to as the Parties and individually as a Party.
TERMS AND DEFINITIONS
Acceptance - the Buyer's acceptance of the transaction as presented.
Website - the Seller's website, which contains the current list of Goods and their price at the URL address: www. ntech.com.ua.
Order - an electronic application form duly executed by the Buyer for the purchase of individual items from the assortment list, the total cost of the Goods selected by the Buyer, the Goods themselves, which the Buyer has selected for purchase and delivery, as well as information about the Buyer (data that provide an opportunity to identify the Buyer, delivery address, other notes).
Courier delivery - a service of delivery of the Goods from the Seller to the Buyer within the stated period of time.
Call-centre operator - a representative of the Seller who accepts Orders.
Buyer - an individual or legal entity that has entered into contractual relations with the Seller on the terms and conditions specified in the Agreement.
Seller - a company selling the Goods presented on the Website.
Public offer - a public offer of the Seller addressed to any individual or legal entity to conclude a sales contract on certain terms and conditions specified in the Contract.
Goods - foodstuffs, meals and beverages offered for sale, in accordance with the range and prices specified on the Website, sold to the Buyer with delivery.
Third Parties are persons who are directly involved in the execution and fulfilment of the Order.
1. GENERAL PROVISIONS
1.1 This Contract is concluded by giving full and unconditional consent of the Buyer to the conclusion of the Contract in its entirety, without signing a written copy of the Contract by the Parties.
1.2 The Contract shall be legally valid in accordance with Art. 633, 641, 642 of the Civil Code of Ukraine.
1.3 The Buyer confirms the fact of familiarisation and agreement with all conditions of this Contract in full by acceptance.
1.4 This Agreement shall come into force from the moment of placing the Order. Thus, the Buyer agrees to purchase the Goods available from the Seller and is valid until the Buyer receives the Goods from the Seller and makes full payment to the Seller.
1.5 The Seller's obligations under the Contract shall be deemed fulfilled from the moment of delivery of the Goods by the Seller to the Buyer.
1.6 By concluding the Contract, the Buyer confirms that he/she is fully acquainted with and agrees to the terms and conditions of the Contract and, if the Buyer is a natural person, gives permission to process his/her personal data for the purpose of being able to fulfil the terms and conditions of this Contract, the possibility of mutual settlements, as well as for receiving invoices, acts and other documents. The authorisation to process personal data shall be valid during the whole term of validity of the Contract. In addition, by signing this Agreement, the Buyer confirms that he is informed (without further notice) of the rights established by the Law of Ukraine "On Protection of Personal Data".
2. SUBJECT OF THE CONTRACT
2.1 The Seller undertakes to transfer into the ownership of the Buyer the Goods, the list of which is specified in the Buyer's Order confirmed by the Seller, and the Buyer undertakes to pay for and accept them in the manner and on the terms and conditions stipulated by this Contract.
3. RIGHTS AND OBLIGATIONS OF THE PARTIES
3.1 Under the terms of this Agreement, the Seller undertakes to transfer the Goods corresponding to the Buyer's order within the stated term, and the Buyer undertakes to accept the Goods and pay a certain sum of money for them.
3.2 The Seller undertakes:
3.2.1 Not to disclose any private information of the Buyer and not to provide access to this information to third parties, except as provided by the current legislation of Ukraine.
3.2.2. Sell goods and provide services provided by the terms and conditions of this Agreement.
3.2.3 Provide consultations on the use of the Website and on the issues of placing an Order.
3.2.4 The Seller shall not be liable for improper use of the Goods by the Buyer, which he ordered.
3.3 The Seller has the right to:
3.3.1.The Seller reserves the right to unilaterally stop the provision of services under this Agreement if the Buyer violates the terms of this Agreement.
3.3.2 The Seller reserves the right to unilaterally amend this Contract prior to its conclusion.
3.3.3 Make changes to the information posted on the Website unilaterally and at its own discretion.
3.3.4. Engage Third Parties to fulfil its obligations to the Buyer.
3.3.5 Change the delivery date of the Goods ordered by the Buyer, giving prior notice of such changes to the Buyer.
3.4 The Buyer undertakes:
3.4.1 To familiarise himself/herself with the contents of this Agreement and the payment and delivery terms and conditions on the Website prior to placing an Order.
3.4.2 Comply with the terms and conditions of this Agreement.
3.4.3 Accept the Goods within the stated term, pay for the Goods before or at the moment of their receipt.
3.5 The Buyer has the right:
3.5.1. Require the Seller to provide services in accordance with the terms and conditions of this Agreement.
